Terms and Conditions of Sale (T&Cs)
Samcro Digital LLC
1. Purpose
These Terms and Conditions of Sale (the “T&Cs”) define the contractual terms under which Samcro Digital LLC,
EIN: 98-1903935, located at 8206 Louisiana Blvd, Albuquerque, NM 87113, USA,
provides digital services including website creation, web development, and digital strategy consulting.
2. Services Provided
Samcro Digital LLC offers, but is not limited to, the following services:
- Custom website design and development
- Web and software application development
- Digital marketing and strategic consulting
- User experience (UX) and user interface (UI) optimization
- Website hosting, maintenance, and technical support
3. Orders
Any order placed with Samcro Digital LLC implies full and unconditional acceptance of these T&Cs.
Orders must be confirmed in writing (email or signed quotation) and must clearly specify the scope of services,
timelines, deliverables, and allocated budget.
4. Pricing
All prices are expressed in United States Dollars (USD) and are detailed in the quotation provided to the client.
Samcro Digital LLC reserves the right to modify its pricing at any time; however, prices applicable are those in effect
at the time the order is confirmed.
5. Payment Terms
Payments are made according to the terms specified in the accepted quotation. Unless otherwise stated, payment terms are as follows:
- 30% deposit due upon acceptance of the quotation
- 70% balance due upon project delivery
In the event of late payment, penalties may be applied in accordance with applicable laws.
6. Project Timelines
Project timelines are provided for informational purposes and may be adjusted due to client-requested changes
or technical constraints. Samcro Digital LLC undertakes to inform the client promptly of any potential delays.
7. Client Obligations
The client agrees to provide all necessary information, content, and access required for proper project execution,
including but not limited to texts, images, videos, credentials, and approvals.
Any delay in providing such elements may result in a corresponding delay in delivery timelines.
8. Intellectual Property
All creations, developments, and deliverables produced by Samcro Digital LLC remain its intellectual property
until full payment has been received. Upon full payment, usage rights are transferred to the client,
unless otherwise specified in the quotation or contract.
9. Confidentiality
Samcro Digital LLC commits to maintaining the confidentiality of all information provided by the client during
the execution of services. Confidential information shall not be disclosed to third parties without prior written consent.
10. Liability
Samcro Digital LLC shall not be held liable for indirect damages, including loss of revenue, data, or business opportunities,
resulting from the use or inability to use the delivered services. The total liability of Samcro Digital LLC
is strictly limited to the amount paid for the services concerned.
11. Termination
In the event of a serious breach of these T&Cs, either party may terminate the contract automatically after
formal notice remains unresolved for a period of 15 days.
In the event of termination initiated by the client, any deposit paid shall remain non-refundable.
12. Modification of the T&Cs
Samcro Digital LLC reserves the right to amend these Terms and Conditions at any time.
Updated T&Cs will apply only to orders placed after their publication date.
13. Governing Law and Jurisdiction
These T&Cs are governed by the laws of the State of New Mexico, United States.
In the event of a dispute, the parties agree to seek an amicable resolution.
Failing that, jurisdiction is expressly granted to the competent courts of Bernalillo County, NM.
14. Acceptance
By placing an order, the client acknowledges having read, understood, and accepted these Terms and Conditions of Sale without reservation.
